These Terms of Service ("Terms") govern your access to and use of the EZDocPro website at ezdocpro.com and our AI-powered document extraction services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.
If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Services.
EZDocPro provides AI-powered document extraction services designed for tax professionals, accountants, bookkeepers, and businesses. Our Services include:
To use our Services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must be at least 18 years old and legally capable of entering into binding contracts to use our Services. You may not create an account on behalf of someone else without their permission.
You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
New users may be eligible for a 14-day free trial with limited features (1 client, 10 pages total). No credit card is required for the free trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Services.
We offer the following subscription tiers:
Annual plans are available at a 20% discount. Prices are subject to change with 30 days' notice.
Subscription fees are billed in advance on a monthly or annual basis. Payments are processed securely through Square. You authorize us to charge your payment method for all fees incurred.
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.
Subscription fees are non-refundable except as required by law. If you cancel your subscription, you will continue to have access to the Services until the end of your current billing period.
You may use the Services only for lawful purposes and in accordance with these Terms. You agree to use the Services only for legitimate business purposes related to document processing and financial management.
You agree not to:
You retain ownership of all documents, data, and information you upload to the Services ("User Content"). By uploading User Content, you grant us a limited license to process, store, and transmit that content solely for the purpose of providing the Services to you.
You are solely responsible for ensuring that you have all necessary rights and permissions to upload and process User Content. You represent and warrant that your User Content does not violate any third party's rights or any applicable laws.
If you are using the Services on behalf of clients, you represent that you have obtained all necessary consents and authorizations from your clients to upload and process their financial documents.
While we strive for high accuracy in our AI extraction, you acknowledge that automated processing may contain errors. You are responsible for reviewing and verifying all extracted data before use in tax filings or other official purposes.
The Services, including all software, algorithms, designs, text, graphics, logos, and other content, are owned by EZDocPro and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding.
If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without any obligation to you.
The Services may integrate with or contain links to third-party services (e.g., Square for payment processing). Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, accuracy, or practices of third-party services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that:
YOU ACKNOWLEDGE THAT THE SERVICES ARE NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL TAX, LEGAL, OR FINANCIAL ADVICE. YOU SHOULD CONSULT WITH QUALIFIED PROFESSIONALS BEFORE MAKING ANY FINANCIAL OR TAX-RELATED DECISIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZDOCPRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless EZDocPro and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
You may terminate your account at any time by contacting us at support@ezdocpro.com or through your account settings. Upon termination, your right to use the Services will immediately cease.
We may suspend or terminate your account at any time, with or without cause or notice, if we believe you have violated these Terms or for any other reason at our sole discretion.
Upon termination, your access to the Services will be disabled, and your User Content may be deleted. We are not obligated to retain or provide copies of your User Content after termination. Provisions that by their nature should survive termination shall survive.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes constitutes acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
YOU AGREE THAT ANY CLAIMS RELATING TO THESE TERMS OR THE SERVICES WILL BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and EZDocPro regarding the Services and supersede all prior agreements and understandings.
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including natural disasters, acts of government, or internet service disruptions.
